- Our read: EasyAlpha grades Penske Automotive Group Inc D, indicating below-average quality with more warning signs than industry peers across the top 1,000 U.S. companies, where favorable valuation is offset by weak profitability.
- The day: Shares surged 8.8% to close at $212.00 on Thursday, October 15 after the company agreed to an all-cash buyout by its controlling shareholders.
- Watching: The next earnings report scheduled for Wednesday, November 4.
Shares jumped on Thursday after the automotive retailer agreed to be taken private in an all-cash transaction valuing the business at approximately $16.3 billion including debt. Under the terms of the merger agreement, public shareholders will receive $212.00 per share in cash. The purchase price lifted the stock to close right at $212.00, wiping out recent weakness and matching the exact terms offered by the buyer consortium.
The takeover is spearheaded by Penske Corporation and Japanese trading firm Mitsui & Co., the company's largest shareholders. Mitsui plans to invest $1.5 billion to deepen its long-term partnership with the retail group. Alongside the merger announcement, the board also approved an increase in the quarterly dividend.
Trading activity spiked immediately, with daily volume surging to 6.9x the 20-session average. The sharp rally represents the stock's second-largest daily gain over the past year, bringing its performance so far this year to +33.9%.
EasyAlpha grades the company D relative to industry peers. In historical research, companies graded A or B show sturdier fundamentals and have historically experienced a lower risk of severe drawdowns than those graded D or E. While the stock brought an inexpensive valuation into the session, trading at a trailing price-to-earnings ratio of 13.8, operational results are constrained by thin profitability. The company generates a net profit margin of only 2.8%.
Wall Street had expressed similar caution before the deal emerged. Among ten covering analysts, only 20.0% maintained a buy rating, and the average price target stood at $209.38. Thursday's surge pushed the closing price 1.2% above that target.

How grades work
Every day we grade each company against the other companies in its sector, looking at its finances, how its stock trades, and what the market is signaling. The result is one simple letter.
- AExcellent quality
- BGood quality
- CAverage quality
- DBelow average
- EWeakest quality
A grade measures quality against the other companies in a sector, from historical data. It is not a prediction, not a price target, and not advice. A company can be graded A and still fall.
